1. Introduction
This End User License Agreement ("EULA") sets forth the terms of use for the software / SaaS platform named onshelves.eu, provided by On Shelves Sp. z o.o., located in Warsaw, Aleja Gen. Antoniego Chruściela "Montera" 88A, 04-412, Poland, NIP: 9522265009, REGON: 540643168, hereinafter referred to as the "Licensor".
By accepting this agreement (by clicking "I Accept"), the User confirms that they have read the terms of the EULA and agrees to comply with them. If the User does not agree to the terms of the agreement, they may not use the Product.
2. Definitions
For the purposes of this Agreement:
"Product" – refers to the software or SaaS service provided by the Licensor in an online model.
"User" – refers to an individual or legal entity using the Product.
"License" – the right to use the Product in accordance with this agreement.
"Account" – the User's profile that allows access to the functionalities of the Product.
"License Period" – the period during which the User holds an active license / subscription.
3. Grant of license
The Licensor grants the User a non-exclusive, non-transferable, and revocable license to use the Product in accordance with its intended purpose and the provisions of this agreement.
The license is granted for the duration of the active subscription or other agreed period.
The license does not imply the transfer of intellectual property rights to the Product.
4. License restrictions
The User may not:
copy, modify, decompile, or reverse-engineer the source code of the Product,
provide the Product to third parties without the Licensor's written consent,
use the Product in a manner that is contrary to law,
or bypass the security or technical restrictions of the Product.
5. Intellectual property
The Product, its graphic elements, code, databases, and content are protected by copyright and remain the exclusive property of the Licensor.
The Licensor retains all rights not expressly granted to the User.
Trade names, trademarks, and logos are the property of the Licensor or its partners.
6. Updates and technical support
The Licensor may provide updates and new versions of the Product, which may be installed automatically.
The Licensor is obligated to provide technical support.
Functionalities may change without notice, provided they do not violate the User's essential rights.
7. Term and termination of the agreement
This agreement is effective from the moment the User accepts the terms.
The Licensor may terminate the agreement with immediate effect in the event of a breach of the terms by the User.
The User may cease using the Product at any time.
Upon termination of the agreement, the User loses access to the Product and all rights under the license.
8. Limitation of liability
The Product is provided on an "as is" basis.
The Licensor is not liable for indirect damages, lost profits, or loss of data resulting from the use or inability to use the Product.
The Licensor's total liability shall not exceed the amount actually paid by the User for the subscription period.
9. Disclaimer of warranties
The Licensor does not warrant that the Product will be error-free or uninterrupted. The Licensor does not provide any implied warranties, including warranties of merchantability or fitness for a particular purpose.
10. Governing law and jurisdiction
This agreement is governed by the laws of the Republic of Poland.
Any disputes arising from this agreement shall be resolved by the court competent for the Licensor's registered office.
11. Final provisions
The Licensor reserves the right to change the content of this agreement, of which the User will be informed in advance.
If any provision of this agreement is found to be invalid, it does not affect the validity of the remaining provisions.
